K3Y & Consol3 Beta Test Agreement

Introduction

This Beta Test Agreement ("Agreement") is entered into between Matt3r Technologies Inc. (“Matt3r”) and the individual ("Tester") participating in the beta test of the K3Y device and its companion app, Consol3. The purpose of this beta test is to evaluate the performance, functionality, and user experience of the K3Y device and Consol3 app, designed to work with the integrated dashcam feature in Tesla vehicles.

Eligibility

To be eligible for participation, Testers must own or have regular access to a Tesla vehicle equipped with an integrated dashcam.

Term of the Agreement

This Agreement commences on September 1, 2023 and ends on December 30, 2023, unless otherwise terminated in accordance with this Agreement.

Device & Software License

Tester is granted a temporary, non-exclusive, non-transferable license to use the K3Y device and Consol3 app solely for the purposes of this beta test.

Confidentiality

Tester agrees to keep all information regarding the K3Y device, Consol3 app, and the beta test confidential and not disclose it to third parties.

Intellectual Property

All hardware, software, and related materials remain the exclusive property of Matt3r.

Data Collection and Usage

Matt3r will collect telemetry, location, and video data from the Tester's Tesla vehicle. This data will be used to monitor driving behavior and patterns. All video content will be stripped of identification information. The data collected will solely be used for internal purposes and may be shared under a non-disclosure agreement for R&D purposes only.

Data Protection Measures

Your personal information is contained behind secured networks and is only accessible by a limited number of persons who have special access rights to such systems. All data you supply is encrypted via Secure Socket Layer (SSL) technology. We implement a variety of security measures to maintain the safety of your personal information.

Do Not Track and Cookies

We honor Do Not Track signals and do not use cookies for tracking purposes within the Consol3 app.

Third-Party Integrations

Tester's Tesla credentials will be entered directly via Tesla's portal through the Consol3 app. At no point will Matt3r have access to these credentials.

User Feedback and Data

Tester is expected to provide feedback on the performance, functionality, and usability of the K3Y device and Consol3 app. This feedback may be used for product development and improvement.

Termination

Either party may terminate this Agreement with written notice. Upon termination, Tester agrees to return the K3Y device and uninstall the Consol3 app.

Limitation of Liability

Tester acknowledges that the K3Y device and Consol3 app are in beta form and may have bugs or defects. Matt3r is not liable for any damages or issues arising from the use of these products.

Governing Law

This Agreement is governed by the laws of British Columbia, Canada.

Privacy Policy

Tester agrees to Matt3r's Privacy Policy, which outlines how personal data will be handled.

Acceptance of Agreement

By participating in this beta test, Tester agrees to abide by the terms laid out in this Agreement.
